Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hippo ("Company," "we," "us," or "our") concerning your access to and use of our services, including our website, AI-powered voice agents, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Services under applicable law
  • Provide accurate and complete registration information

Description of Services

Hippo provides AI-powered voice agents and lead generation services designed for healthcare practices. Our Services include:

  • Automated call handling and appointment scheduling
  • Lead qualification and patient intake
  • Integration with practice management systems
  • Analytics and reporting tools
  • Marketing and advertising services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

Account Registration and Security

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

You may not share your account credentials or transfer your account to another party without our prior written consent.

Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party right
  • Engage in fraudulent, deceptive, or misleading practices
  • Transmit harmful code, viruses, or malware
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to our systems
  • Use automated systems to access the Services without authorization
  • Impersonate any person or entity
  • Collect or harvest user information without consent
  • Use the Services for any unlawful or unauthorized purpose
  • Violate HIPAA or other healthcare privacy regulations

Payment Terms

Fees and Billing

You agree to pay all fees associated with your use of the Services according to the pricing and payment terms presented to you. Fees are non-refundable except as required by law or as explicitly stated in your service agreement.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method on file for the renewal.

Payment Methods

You authorize us to charge your chosen payment method. You must provide current, complete, and accurate payment information and promptly update all information to keep your payment method current.

Late Payments

Late payments may result in suspension or termination of your access to the Services. We reserve the right to charge interest on late payments at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Intellectual Property Rights

Our Rights

The Services and all content, features, and functionality are owned by Hippo and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

Your Content

You retain ownership of any content you submit through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely to provide and improve the Services.

Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without compensation or attribution.

HIPAA and Healthcare Compliance

For healthcare providers using our Services to handle Protected Health Information (PHI), we will enter into a Business Associate Agreement (BAA) as required by HIPAA. Both parties agree to:

  • Comply with all applicable HIPAA regulations
  • Implement appropriate safeguards for PHI
  • Report any security incidents or breaches as required by law
  • Use PHI only as permitted by the BAA

Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Third-Party Services and Links

Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

Disclaimers and Limitations of Liability

Service Availability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIPPO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Medical Advice Disclaimer

Our Services are designed to facilitate practice management and patient communication. They do not provide medical advice, diagnosis, or treatment. Healthcare providers are solely responsible for all medical decisions and patient care.

Indemnification

You agree to indemnify, defend, and hold harmless Hippo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may cancel your account at any time by contacting us.

Upon termination:

  • Your right to use the Services will immediately cease
  • We may delete your account and data
  • You remain responsible for any fees incurred before termination
  • Provisions that by their nature should survive termination will remain in effect

Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at legal@tryhippo.ai to attempt to resolve the dispute informally.

Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from these Terms or the Services will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration will take place in the United States, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Hippo regarding the Services and supersede all prior agreements and understandings.
